This Agreement is governing your access to and use of 2Checkout's website you are visiting or using www.2checkout.com, www.2co.com, www.avangatenetwork.com, blog.2checkout.com and their related services: Avangate cPanel (Affiliate), Partner Portal, My account - Shopper, My account - Merchant, ("Website", "Platform"). These Terms, You and 2Checkout are referred to herein, individually as a "party", and collectively as the "parties".
If you access or use the Platform as an individual not formally associated with an entity, then you are entering into this Agreement on your own behalf. If you access or use the Website on behalf of a company, organization, government, or other legal entity, then you are entering into this Agreement on behalf of the entity that you represent, and accordingly, you represent that you are a duly authorized representative with the authority to bind that legal entity and its affiliates to this Agreement, in which case the term "User" shall refer to such legal entity and its affiliates. All references to "you" and "your" in this Agreement mean the person accepting this Agreement as an individual or as a duly authorized representative of the legal entity for which the representative is acting.
You hereby represent and warrant to 2Checkout that (i) you are at least 16 years old or have reached the age of majority in your jurisdiction, (ii) you are legally capable of entering into and performing this Agreement, and (iii) you are not a person or acting on behalf of an entity barred from receiving or using the Website under the laws of the United States or any other applicable jurisdiction.
Any rights not expressly granted herein are reserved by 2Checkout. The Agreement represents the entire understanding relating to the use of this Website and supersede any prior or contemporaneous, conflicting, or additional communications.

- 16.1. Neither party will be responsible for the non-fulfillment of its contractual obligations if such non-fulfillment is due to a force majeure event. Force majeure means any unpredictable event beyond the control of the parties, and which cannot be avoided.
- 16.2. The party invoking force majeure must notify the other party within 5 (five) calendar days of the occurrence of the event and take all possible measures to limit its consequences. If force majeure continues for more than 30 (thirty) calendar days, the parties agree to meet and decide on the further conduct of their relationship.
17. Governing law
These Terms are governed by and construed in accordance with the laws of Netherlands. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Netherlands.
18. Final provisions
- 18.1. Entire Agreement. These Terms and Conditions must be read and interpreted in conjunction with all other legal documents and information presented on the Website and constitute the entire agreement between you and 2Checkout concerning your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
- 18.2. No assignment. You may not assign your rights under these Terms, in whole or in part, to any third party.
